What we do – and where the regulatory line is drawn

AMCL delivers transaction advisory, management consulting and commercial/“legal-awareness” support. AMCL is not authorised by the Financial Conduct Authority (FCA) and does not undertake regulated activities. AMCL is not a law firm and does not provide reserved legal services; our work is delivered as non-regulated commercial and organisational consultancy.

01 • Transaction Advisory (Non-regulated)

Preparing businesses for sale, acquisition and restructuring

We support clients through the commercial, strategic and organisational dimensions of transactions, ensuring that the business is structurally, operationally and documentarily ready for the process.

What we do
  • Sale and acquisition readiness assessments – governance, documentation, risk and operations.
  • Design of transaction process: stages, responsibilities, document flows and decision gates.
  • Drafting and reviewing non-regulated documentation such as share purchase agreements, share transfer forms, disclosure letters, board and shareholder resolutions and supporting packs.
  • Commercial risk analysis, red-flag identification and commentary on negotiation strategy and term-sheet structure.
  • Stakeholder coordination and implementation support through to completion.
What we do not do
  • We do not advise on whether to buy, sell or hold any specific share, security or investment.
  • We do not source investors, arrange deals in investments or introduce regulated products.
  • We do not manage portfolios, handle client money or hold client assets.
  • We do not provide regulated legal opinions on securities or investment contracts.
Regulatory position: corporate and commercial consultancy only; activities are designed to remain outside the FCA’s regulatory perimeter and outside MiFID investment advice.
02 • Management Consulting

Strengthening strategy, governance and operating models

AMCL helps organisations refine strategy, redesign structures and sharpen governance so that leadership has reliable insight and control.

What we do
  • Strategic planning and scenario-based decision frameworks for boards and leadership teams.
  • Organisational design, role clarity, reporting lines and committee structures.
  • Board charters, responsibility matrices (RACI) and governance frameworks.
  • Operational process mapping, simplification and documentation.
  • Change-management support and implementation oversight.
What we do not do
  • We do not provide FCA compliance consulting to authorised firms.
  • We do not act as internal auditors for regulated financial institutions.
  • We do not design, market or advise on specific financial instruments or products.

03 • Commercial & Legal-Awareness Support

Documenting and understanding the commercial backbone of the business

We support clients with drafting, reviewing and optimising the commercial documents that underpin their operations, governance and transactions – as consultancy support, not as legal practice.

Our team includes commercially experienced consultants with legal training and professional qualifications. This experience enhances our commercial drafting and risk-review capabilities, while remaining entirely outside the scope of regulated legal services.

What we do
  • Drafting and reviewing commercial agreements (services agreements, NDAs, MoUs, partnership/fee arrangements) from a commercial and risk-awareness perspective.
  • Preparing governance documents, shareholder guidance notes and policy frameworks.
  • Providing high-level commentary on risk allocation, commercial terms and negotiation strategy.
  • Assembling document packs for corporate actions and internal governance processes.
  • Developing templates and standard operating documentation for recurring use.
What we do not do
  • We do not act as solicitors or provide reserved legal activities.
  • We do not provide formal legal opinions or represent clients in litigation, conveyancing or notarial work.
  • We do not advise on the legal merits of specific regulated investment instruments.
